09.01.09 - Fibria, a newborn global leader in market pulp

The new company resulting from the acquisition of Aracruz by VCP brings together 15,000 professionals and has an annual production capacity of over 6 million tons  of pulp and paper

Fibria, the company resulting from the acquisition of Aracruz by VCP, is born. The transaction, initially reported to the market on January 20, was successfully concluded on August 26 after Extraordinary General Meetings that approved the exchange of shares. BNDESpar has a 34.9% stake in Fibria, the Votorantim Group holds a 29.3% stake and the remaining 35.8% of the shares are held by the financial market.

One of the most important transactions of its type in Brazil, the acquisition of Aracruz by VCP and the subsequent creation of Fibria reaffirms the country's position as a reference point in the production and export of pulp from renewable planted forests.

Fibria begins as a global leader, with an annual production capacity of over 6 million tons of pulp and paper, over 15,000 professionals working in seven mills located throughout Brazil and with six commercial offices abroad, located in the world's main consumer markets. Nearly all of its pulp production will be destined to the main consumer markets.

Fibria will have estimated annual revenues of R$ 6 billion, based upon the combined results of the two separate companies for the year ended June 30, 2009. Expansion projects previously announced by the separate companies will be implemented, dependant upon prospective market conditions, thereby expanding its pulp production capacity by an additional 6.7 million tons and creating over 9,000 new direct jobs.

The president of Fibria is Carlos Aguiar, and the chairman of the Board is José Luciano Penido.

With plantations in the States of Rio Grande do Sul, São Paulo, Minas Gerais, Espírito Santo, Mato Grosso do Sul and Bahia, Fibria has a broad and diversified forestry base that guarantees self-sufficiency in wood, its principal raw material. The company's total forestry area is 1.3 million hectares, of which 461,000 hectares are set aside for permanent conservation.

This forestry base will also be supplemented by nearly 120,000 hectares of renewable plantations owned by participants in Fibria's forestry development program. This program offers an important alternative source of wood for the company and the diversification of crops and revenue for participating farmers, thereby resulting in the creation of jobs and socio-economic development in rural areas.

The synergies to be captured by Fibria from the integration of the operations of the two companies are estimated to initially be R$ 4.5 billion. Operational, commercial and practical gains in sustainability will boost efficiency and competitiveness for the new company to the most demanding levels of the market. Following the best practices in corporate governance, the trading in the new company's shares will also migrate to Brazil's New Stock Market.
